01Agreement to Terms

By accessing or using our website at towerzerosecurity.com, requesting a service assessment, or entering into a service agreement with Tower Zero Security LLC, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

If you are accessing our website or services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to both you individually and the entity you represent.

02Services

Tower Zero Security LLC provides managed cybersecurity services including, but not limited to:

• 24/7 Microsoft 365, Entra ID, and Azure threat monitoring and detection
• Security incident response and containment
• Identity and account protection services
• Phishing, business email compromise (BEC), and email attack investigations
• Cloud and endpoint security coverage via Huntress MDR and Microsoft Defender
• Security assessments and environment hardening recommendations
• Cyber insurance preparation and forensic documentation support

The specific scope, deliverables, response times, and terms applicable to your engagement are defined in a separate written Service Agreement or Statement of Work executed between you and Tower Zero Security LLC. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to affected clients.

03Eligibility

Our website and services are intended for businesses and business professionals in the United States. By using our website or services, you represent that:

• You are at least 18 years of age
• You are accessing our services for lawful business purposes
• You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent
• Your use of our services will not violate any applicable laws or regulations

04Account & Access

To receive our services, you will be required to provide accurate and complete information about your organization and technical environment. You are responsible for maintaining the accuracy of this information and notifying us promptly of any material changes.

You are responsible for all activity that occurs under your account or service engagement. You agree to notify us immediately at support@towerzerosecurity.com if you suspect any unauthorized access to your account or security environment.

In connection with providing services, we may require administrative or delegated access to your Microsoft 365 tenant, Entra ID environment, or other systems. You grant us the access necessary to perform the services described in your Service Agreement. We will not use this access for any purpose other than delivering the agreed-upon services.

05Client Responsibilities

To enable Tower Zero Security to deliver effective security services, you agree to:

• Provide accurate, complete, and timely information about your technical environment and organizational structure
• Grant us the access and permissions required to perform monitoring, detection, and response activities as specified in your Service Agreement
• Designate a point of contact authorized to receive security communications, incident notifications, and make decisions on your behalf during active incidents
• Implement recommended security hardening measures and remediation steps in a timely manner
• Notify us promptly of any significant changes to your technical environment, including new systems, acquisitions, personnel changes, or incidents you become aware of
• Use our services only for lawful purposes and in compliance with all applicable laws and regulations
• Maintain appropriate cyber insurance coverage as recommended for your firm's risk profile

Tower Zero Security's ability to detect, respond to, and contain threats is dependent on your cooperation and the accuracy of information you provide. We are not liable for security failures that result from your failure to fulfill these responsibilities.

06Payment Terms

Fees for our services are specified in your Service Agreement. Unless otherwise stated:

• Monthly retainer fees are billed in advance at the beginning of each billing period
• Payment is due within fifteen (15) days of invoice
• Overdue payments are subject to a late fee of 1.5% per month on the outstanding balance
• We reserve the right to suspend services for accounts more than thirty (30) days past due, with reasonable notice
• All fees are non-refundable except as expressly stated in your Service Agreement
• We reserve the right to adjust pricing with sixty (60) days written notice for ongoing engagements

All fees are stated in US dollars. You are responsible for all applicable taxes, including sales tax, use tax, or similar taxes, except for taxes on our net income.

07Confidentiality

Both parties acknowledge that in connection with the services, each may have access to confidential and proprietary information of the other party, including but not limited to technical environments, security vulnerabilities, incident details, business operations, and client information.

Each party agrees to: (a) hold the other party's confidential information in strict confidence; (b) not disclose confidential information to any third party without prior written consent except as required by law; and (c) use confidential information only for the purposes of performing or receiving the services.

Tower Zero Security will maintain the confidentiality of all information relating to your security environment, incidents, and vulnerabilities. We will not disclose details of your security posture, incidents, or infrastructure to any third party without your consent, except as required by applicable law or as necessary to deliver the services (such as working with our security technology partners).

Confidentiality obligations survive the termination of these Terms for a period of three (3) years, except with respect to trade secrets, which shall be protected indefinitely.

08Intellectual Property

Our Property: All content on our website, including text, graphics, logos, and software, is the property of Tower Zero Security LLC and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our express written permission.

Your Property: You retain all ownership rights in your data, systems, and information. By granting us access to your environment, you grant us a limited, non-exclusive license to access and process your data solely for the purpose of delivering the services.

Deliverables: Reports, incident timelines, and documentation we produce specifically for your engagement are licensed to you for your business use. Our underlying methodologies, detection rules, tools, and playbooks remain our proprietary intellectual property.

09Disclaimers

OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Tower Zero Security does not warrant that:

• Our services will prevent all security incidents, breaches, or cyberattacks
• Our monitoring will detect all threats or malicious activity in your environment
• Our services will meet all regulatory or compliance requirements applicable to your business
• Our website will be available without interruption, error-free, or free of viruses or harmful components

Cybersecurity is not a guarantee of security. We provide professional security services using industry-leading tools and methodologies, but no security service can provide absolute protection against all threats. Our services reduce your risk — they do not eliminate it.

10Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOWER ZERO SECURITY LLC, ITS OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR WEBSITE OR SERVICES.

TOWER ZERO SECURITY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO TOWER ZERO SECURITY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11Indemnification

You agree to indemnify, defend, and hold harmless Tower Zero Security LLC and its officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of our website or services in violation of these Terms
• Your violation of any applicable law or regulation
• Your breach of any representation, warranty, or obligation under these Terms
• Your failure to fulfill your responsibilities as described in Section 5
• Any third-party claims arising from your use of our services or your security environment

12Term & Termination

These Terms remain in effect for as long as you use our website or maintain an active service engagement with us.

Either party may terminate a service engagement in accordance with the termination provisions of the applicable Service Agreement. In the absence of a specific agreement, either party may terminate with thirty (30) days written notice.

We may suspend or terminate your access to our services immediately and without notice if:

• You materially breach these Terms or your Service Agreement and fail to cure such breach within ten (10) days of written notice
• You engage in fraudulent, abusive, or illegal activity
• Continuing to provide services would expose us to legal liability or reputational harm

Upon termination, your right to use our services ceases immediately. We will provide you with any deliverables completed through the termination date. Sections 7 (Confidentiality), 8 (Intellectual Property), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Dispute Resolution) survive termination.

13Dispute Resolution

Informal Resolution: Before initiating any formal dispute proceeding, you agree to contact us at support@towerzerosecurity.com and attempt to resolve the dispute informally. We will make reasonable efforts to resolve your concern within thirty (30) days.

Binding Arbitration: If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Connecticut. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class, collective, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Nothing in this section prevents either party from making a claim in small claims court for matters within that court's jurisdiction.

14Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law principles. To the extent that any dispute is not subject to arbitration under Section 13, you consent to the exclusive jurisdiction of the state and federal courts located in Connecticut.

15Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any executed Service Agreement, constitute the entire agreement between you and Tower Zero Security LLC regarding your use of our website and services, and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets, with notice to you.

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, internet or telecommunications failures, or other events outside a party's reasonable control.

Updates: We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services following such notice constitutes acceptance of the updated Terms.
